AOTI Consititution
We are delighted to tell you that the certificate from the Company Registration Office (CRO), reflecting that AOTI has met the requirements under the Companies Act 2014, has finally arrived in the AOTI office. Many thanks to Phil Dunne, Helen McGuigan and Vivienne Nelson who undertook this task on behalf of the AOTI membership.
This certificate will now be framed and hung in a place of honour in the AOTI office.
A copy of the new AOTI Constitutio,n that was required by CRO, is available AOTI website https://www.aoti.ie/publications.aspx?contentid=5092.
This is primarily made up of two documents – a memorandum and articles of association. The memorandum of the association has to contain an objects clause.
Prior to the Companies Act 2014, AOTI did have a memorandum and articles of association but these had to be adjusted and updated to reflect the requirements of the Companies Act 2014.
A new AOTI Governance Handbook, primarily reflecting the existing AOTI Standing Orders, is currently being compiled by the AOTI Governance Committee. Once the AOTI Governance Handbook is completed you will be informed and a copy emailed to you.
